Abstract

Industrial firms across the world increasingly rely on digital mergers and acquisitions (M&A) to strengthen competitiveness, enhance innovation, and improve organizational performance. In developing economies like Pakistan, however, the digital maturity of firms remains limited, making digital integration through M&A particularly challenging. This study investigates digital M&A activities influence digital innovation and organizational performance within Pakistan�s industrial sectors, addressing the current lack of empirical evidence and theoretical frameworks in this context. The research identifies major barriers to digital transformation including outdated legacy systems, inadequate digital readiness, weak leadership involvement, cultural resistance to change, and misalignment between the digital visions of acquiring and target firms. These issues hinder the integration of digital assets such as ERP, CRM, and data analytics systems after an acquisition, reducing the potential value creation from M&A. A sequential explanatory mixed-methods design is employed, involving a quantitative survey of 300 managers and executives engaged in M&A activities, followed by qualitative interviews with industry stakeholders. Quantitative analysis using descriptive statistics, correlation (), and regression () explores relationships among pre- M&A preparedness, innovation strategies, and organizational performance. Qualitative thematic analysis deepens understanding of integration challenges, contextual factors, and managerial insights. The findings reveal that strong pre-M&A planning, effective digital innovation strategies, and proactive innovation management significantly improve post-acquisition outcomes. Digital innovation is shown to moderate the relationship between digital M&A and organizational performance, emphasizing its role as a strategic enabler. The results also confirm that organizational context and environmental conditions cause variability in digital M&A success. A Digital M&A Innovation Model is proposed, guiding industrial firms in Pakistan to align digital technologies with strategic goals, foster agile and self-organizing structures, and build cultures supportive of innovation. This framework contributes to advancing theory on digital transformation in emerging markets while offering practical direction for policymakers and practitioners aiming to leverage digital M&A as a catalyst for growth and competitiveness.
